4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. Prohibited actions include, but are not limited to:

  • Uploading illegal, infringing, defamatory, obscene, or harmful content.

  • Interfering with the normal operation of the Services or disrupting servers or networks.

5. Subscriptions & Payments

Certain features may be offered on a subscription or paid basis. By subscribing or making payments, you agree to the following:

  • You agree to pay all fees associated with your subscription or purchase.
  • Subscription fees are billed in advance on a recurring basis (monthly, annually, etc.).
  • You authorize us to charge your payment method automatically for recurring subscriptions.
  • Payments are non-refundable except as required by law or as otherwise set forth in a separate agreement.
  • We reserve the right to change pricing with advance notice to active subscribers.
  • Failure to pay may result in suspension or termination of your account.

6. Free Trial & Promotional Offers

We may offer free trials or promotional pricing for certain features. These offers are subject to specific terms and duration limits. After the trial period ends, you will be charged the standard subscription fee unless you cancel before the trial expires.

7. Intellectual Property

All intellectual property rights in the Services, including trademarks, logos, text, graphics, software, designs, and functionality, are owned by or licensed to TFPDinex. You may not copy, modify, distribute, sell, or lease any part of our Services or attempt to reverse engineer any software contained in the Services without our express written permission.

8. User Data & Content

You retain ownership of the data and content you upload to our platform ("User Content"). By using the Services you grant us a limited, worldwide, non-exclusive license to:

  • Store, process, display, and transmit your User Content as necessary to provide the Services.
  • Use aggregated, anonymized data for analytics, research, and product improvements.
  • Create backups and ensure data security.

You represent and warrant that you have all necessary rights to upload User Content and that it does not violate any third-party rights or applicable laws.

9. Data Backup & Loss

While we implement reasonable backup procedures, we recommend that you maintain your own backups of important data. We are not liable for any loss or corruption of User Content.

10. Third-Party Integrations & Services

Our Services may integrate with third-party providers including payment processors, delivery platforms, analytics services, cloud storage, and other business tools. Your use of third-party services is subject to their respective terms.

12. Termination

We may suspend or terminate your access to the Services at our discretion for violations of these Terms, non-payment, illegal activity, or for other lawful reasons. You may also terminate your account at any time by contacting support or using account settings. Upon termination:

  • Your right to access the Services will immediately cease.
  • You will lose access to your User Content unless you export it before termination.
  • We may delete your data in accordance with our data retention policies.
  • Prepaid fees are generally non-refundable unless required by law.

13. Disclaimers & Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TFPDINEX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT.

You acknowledge that you use the Services at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TFPDINEX, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, DATA BREACHES, OR SECURITY INCIDENTS.
  • DAMAGES RESULTING FROM ERRORS, BUGS, OR INTERRUPTIONS IN THE SERVICES.

OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify, defend, and hold harmless TFPDinex and its affiliates, officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your violation of any rights of another party.
  • Your User Content.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Bhopal, Madhya Pradesh, India.

Before filing any legal action, you agree to attempt to resolve disputes informally by contacting us first.

17. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use the Services in any country or region that is subject to trade sanctions or export restrictions.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TFPDinex regarding the Services and supersede any prior agreements.

20. Changes to Terms

We may update these Terms periodically to reflect changes in our Services, legal requirements, or business practices. We will provide notice of material changes by:

  • Posting the updated Terms on our website with a revised "Last Updated" date.
  • Sending email notifications to registered users for significant changes.
  • Displaying in-app notifications where applicable.
